Accordingly, there are some amendments compared to the Law on Enterprise 2014 to make regulations more suitable for actual practice.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">In order to support enterprises to update information in a timely and accurate manner under new regulations of the law, PL &amp; Partners will provide information about changes in Law on Enterprise 2020.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">Continuing the content about changes in General Provisions that were sent to readers in part 1, PL &amp; Partners are going to continue figuring out more new highlights of the Law on Enterprise 2020 on <strong>amendments related to the establishment, temporary suspension of business, and dissolution of enterprises.<\/strong><\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"1_THOSE_WHO_ARE_BANNED_FROM_ESTABLISHING_AND_MANAGING_ENTERPRISES\"><\/span><span style=\"font-size: 19px; color: #000080;\"><strong>1. <\/strong><\/span><strong><span style=\"font-size: 14.5pt; color: navy;\">THOSE WHO ARE BANNED FROM ESTABLISHING AND MANAGING ENTERPRISES<\/span><\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<table style=\"width: 660;\" border=\"3\">\n<tbody>\n<tr>\n<td style=\"width: 48.2219%;\" width=\"312\">\n<p style=\"text-align: center;\"><span style=\"font-size: 16px; color: #000000;\"><strong>Law on Enterprise 2014<\/strong><\/span><\/p>\n<\/td>\n<td style=\"width: 64.0971%;\" width=\"312\">\n<p style=\"text-align: center;\"><span style=\"font-size: 16px; color: #000000;\"><strong>Law on Enterprise 2020<\/strong><\/span><\/p>\n<\/td>\n<\/tr>\n<tr style=\"vertical-align: top;\">\n<td style=\"width: 48.2219%;\" width=\"312\">\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">Previously, Clause 2, Article 18 of the Law on Enterprise 2014 specified individuals and organizations that were not allowed to establish and manage enterprises, including:<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\"><em><strong>a)<\/strong> State agencies, people&#8217;s armed force units using state-owned property to establish enterprises for self-seeking purposes.<\/em><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\"><em><strong>b)<\/strong> Cadres, civil servants, and public employees defined by regulations of law on cadres and civil servants, law on public employees;<\/em><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\"><em><strong>c)<\/strong> Officers, non-commissioned officers, professional military personnel, workers, public employees working at units of the People&#8217;s Army; specialist officers, non-commissioned officers working at units of the People&#8217;s Public Security, except for those appointed as authorized representatives to manage the state capital in enterprises;<\/em><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\"><em><strong>d)<\/strong> Executive officers of state-owned enterprises, except for those appointed as authorized representatives to manage state capital in other enterprises;<\/em><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\"><em><strong>dd)<\/strong> Minors; people with limited or lack of capacity for civil act; organizations not having legal status;<\/em><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\"><em><strong>e)<\/strong> Any person who is facing criminal prosecution, serving a prison sentence, undergoing drug rehabilitation, being sent to a reform school; or banned from doing certain business, holding a particular title, or doing a specific job by the court; and other cases prescribed by the laws on bankruptcy,\u00a0 anti-bribery, and anti-corruption.<\/em><\/span><\/p>\n<\/td>\n<td style=\"width: 64.0971%;\" width=\"312\">\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">Clause 2, Article 17 has supplemented some subjects who do not have the right to establish and manage enterprises. Those are:<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">&#8211; People having difficulties in awareness and control of their behaviors;<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">&#8211; Non-commissioned officers and police workers in agencies and units of Viet Nam People&#8217;s Police (except for those designated and authorized representatives to manage state-owned stakes in enterprises or to manage state-owned enterprises);<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">&#8211; Commercial entities that are banned from doing business or operating in certain fields as prescribed by the Criminal Code.<\/span><\/p>\n<p>&nbsp;<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<h2><span class=\"ez-toc-section\" id=\"2_OBJECTS_PROHIBITED_FROM_CONTRIBUTING_CAPITAL\"><\/span><span style=\"font-size: 19px; color: #000080;\"><strong>2. <\/strong><\/span><strong><span style=\"font-size: 14.5pt; color: navy;\">OBJECTS PROHIBITED FROM CONTRIBUTING CAPITAL<\/span><\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">The Law on Enterprise 2020 stipulates one more case in which those who are banned under the Law on Cadres and Civil Servants, the Law on Public Employees, and the Law on Anti-bribery and Anti-corruption are not allowed to contribute capital, or buy shares, stakes.<\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"3_CHANGES_IN_REGULATIONS_ON_COMPANY_SEAL\"><\/span><span style=\"font-size: 19px; color: #000080;\"><strong>3. <\/strong><\/span><strong><span style=\"font-size: 14.5pt; color: navy;\">CHANGES IN REGULATIONS ON COMPANY SEAL<\/span><\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">The Law on Enterprise 2020 gives several changes to regulations of the company seal, notably the legal recognition of digital signatures as the seal of the enterprise.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">The new points related to the company\u2019s seal include:<\/span><\/p>\n<table border=\"3\" width=\"660\">\n<tbody>\n<tr>\n<td width=\"318\">\n<p style=\"text-align: center;\"><span style=\"font-size: 16px; color: #000000;\"><strong>Enterprises are entitled to self-determination with their seals.<\/strong><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">Enterprises are entitled to determine the type, quantity, form, and content of the seal of their own, their branches, representative offices, and other units.\u00a0<\/span><\/p>\n<\/td>\n<\/tr>\n<tr>\n<td style=\"text-align: justify; color: #000080;\"><strong>4. <\/strong><\/span><strong><span style=\"font-size: 14.5pt; color: navy;\">TIME LIMIT FOR NOTICE PRIOR TO THE DATE OF TEMPORARY SUSPENSION OF BUSINESS ACTIVITIES<\/span><\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<table border=\"3\" width=\"660\">\n<tbody>\n<tr>\n<td width=\"288\">\n<p style=\"text-align: center;\"><span style=\"font-size: 16px;
