SEQUENCE<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\"><strong><span style=\"color: #ff0000;\">Step 1:<\/span> <\/strong>Prepare a merger contract and a charter of the merging company.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\">The merged companies shall prepare a merger contract with the following contents:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"color: #333333;\">Name, head office\u2019s address of merged companies.<\/span><\/li>\n<li><span style=\"color: #333333;\">Name, head office\u2019s address of merging company.<\/span><\/li>\n<li><span style=\"color: #333333;\">Procedures and conditions for merger.<\/span><\/li>\n<li><span style=\"color: #333333;\">Labour usage plan.<\/span><\/li>\n<li><span style=\"color: #333333;\">Methods, procedure, time, and conditions for the transfer of assets, shares, stakes, and bonds of the merged company into that of the merging company.<\/span><\/li>\n<li><span style=\"color: #333333;\">Duration for implementation of the merger.<\/span><\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\"><span style=\"color: #ff0000;\"><strong>Step 2:<\/strong> <\/span>The members, owners, or shareholders of the companies shall ratify the merger contract and the merging company\u2019s charter and apply for registration of the merging company.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\"><span style=\"text-decoration: underline; color: #ff0000;\"><strong><em>Note:<\/em><\/strong><\/span> If the merging company has a total market share of between 30% and 50% in the relevant market, the legal representative shall notify the competition authority prior to conducting the merger, unless otherwise prescribed by the Competition Law.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\">Companies with a total market share of more than 50% in the relevant market are banned from merger unless otherwise prescribed by the Competition Law.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\"><strong><span style=\"color: #ff0000;\">Step 3<\/span>:<\/strong> The merger contract shall be sent to creditors and employees within 15 days from the day on which the resolution is ratified.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\"><span style=\"color: #ff0000;\"><strong>Step 4:<\/strong><\/span> Registration for a merging company that is a joint-stock company.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\">The business registration authority shall update the status of the merged company to the national enterprise registration database and change the enterprise registration information on the Enterprise Registration Certificate of the merging company.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"background-color: #ffff00; color: #333333;\">Please follow the link to get the procedure for <strong>REGISTRATION OF ESTABLISHMENT OF A JOINT STOCK COMPANY<\/strong><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\"><span style=\"color: #ff0000;\"><strong><em><u>Note:<\/u><\/em><\/strong><\/span> After the merging company is registered, the merged companies shall cease to exist.
