DURATION.<\/a><ul class='ez-toc-list-level-3' ><li class='ez-toc-heading-level-3'><a class=\"ez-toc-link ez-toc-heading-8\" href=\"https:\/\/pl-partners.vn\/en\/issuance-of-business-license-concurrently-with-retail-outlet-establishment-license-specified-in-article-20-of-decree-no-09-2018-nd-cp\/#PL_AND_PARTNERS_LAW_FIRM\" title=\"PL AND PARTNERS LAW FIRM\">PL AND PARTNERS LAW FIRM<\/a><\/li><\/ul><\/li><\/ul><\/nav><\/div>\n<h2><span class=\"ez-toc-section\" id=\"1_OBJECTS\"><\/span><span style=\"color: #003366;\"><strong>1.\u00a0<\/strong><strong>OBJECTS.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\">The foreign-invested entity applies for Business License concurrently with the first Retail Outlet Establishment License, in which the location of the first retail outlet is placed in the same province\/municipality as the headquarters of such entity.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\"><em>Legal basis: <\/em><\/span><span style=\"color: #0000ff;\"><em>Clause 4, Article 5, Decree 09\/2018\/ND-CP<\/em><\/span><span style=\"color: #333333;\"><em>.<\/em><\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"2_CONDITIONS_FOR_ISSUANCE_OF_BUSINESS_LICENSE_CONCURRENTLY_WITH_RETAIL_OUTLET_ESTABLISHMENT_LICENSE\"><\/span><span style=\"color: #003366;\"><strong>2.\u00a0<\/strong><strong>CONDITIONS FOR ISSUANCE OF BUSINESS LICENSE CONCURRENTLY WITH RETAIL OUTLET ESTABLISHMENT LICENSE.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\">To be issued the Business License concurrently with the first Retail Outlet Establishment License, the foreign-invested entity must satisfy the following conditions:<\/span><\/p>\n<h3><span class=\"ez-toc-section\" id=\"21_General_conditions\"><\/span><span style=\"color: #ed1c24;\"><strong>2.1 General conditions:<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\">To ensure the general conditions specified in <span style=\"color: #0000ff;\">Articles 9 and Articles 22 of Decree No. 09\/2018\/ND-CP<\/span>. Specifically:<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #282828;\"><strong>a) The conditions for issuance of Business License<\/strong><\/span><\/p>\n<p style=\"text-align: justify;\"><em style=\"color: #333333; font-size: 14.4px;\">&#8211; In case a foreign investor from a country or territory which has acceded to an International Treaty to which Viet Nam is a signatory and under which Viet Nam has committed to open its market for sale of goods and directly related activities:<\/em><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"color: #333333;\">Meet conditions on market access prescribed in International Treaty to which Viet Nam is a signatory;<\/span><\/li>\n<li><span style=\"color: #333333;\">Acquire a financial plan deemed qualified to apply for a Business License;<\/span><\/li>\n<li><span style=\"color: #333333;\">Incur no overdue tax in a case where it has been established in Viet Nam for at least 01 year.<\/span><\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\"><em>&#8211; In case a foreign investor is not from a country or territory which has acceded to an International Treaty to which Viet<\/em><em> N<\/em><em>am is a signatory:<\/em><\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"color: #333333;\">Acquire a financial plan deemed qualified to apply for a Business License;<\/span><\/li>\n<li><span style=\"color: #333333;\">Incur no overdue tax in a case where it has been established in Viet Nam for at least 01 year;<\/span><\/li>\n<li><span style=\"color: #333333;\">Meet the following criteria:<\/span><\/li>\n<\/ul>\n<ul style=\"list-style-type: circle; text-align: justify;\">\n<li><span style=\"color: #333333;\">In accordance with the provisions of specialized laws;<\/span><\/li>\n<li><span style=\"color: #333333;\">In conformity with the extent of competitiveness of domestic enterprises within the same sector;<\/span><\/li>\n<li><span style=\"color: #333333;\">Ability of creating employment for domestic workers;<\/span><\/li>\n<li><span style=\"color: #333333;\">Potential and actual contribution to the state budget.<\/span><\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\"><em>&#8211; In case of trading services or goods (lubricating oil and grease; rice; sugar; recorded items; books, newspapers, and magazines) for which Viet<\/em><em> N<\/em><em>am has not committed to open its market as specified in the International Treaty to which Viet<\/em><em> N<\/em><em>am is a signatory:<\/em><\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"color: #333333;\">Acquire a financial plan deemed qualified to apply for a Business License;<\/span><\/li>\n<li><span style=\"color: #333333;\">Incur no overdue tax in a case where it has been established in Viet Nam for at least 01 year;<\/span><\/li>\n<li><span style=\"color: #333333;\">Meet the following criteria:<\/span><\/li>\n<\/ul>\n<ul style=\"list-style-type: circle; text-align: justify;\">\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">In accordance with the provisions of specialized laws;<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">In conformity with the extent of competitiveness of domestic enterprises within the same sector;<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">Ability to create employment for domestic workers;<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">Potential and actual contribution to the state budget.<\/span><\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><span style=\"color: #ff0000;\"><strong><em><u>Note:<\/u><\/em><\/strong><\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">The investors applying for a Business License to exercise the right of importation and wholesale distribution of goods being lubricating oil and grease must perform one of the following activities:<\/span><\/li>\n<\/ul>\n<ul style=\"list-style-type: circle; text-align: justify;\">\n<li><span style=\"color: #333333;\">Producing lubricating oil and grease in Viet Nam;<\/span><\/li>\n<li><span style=\"color: #333333;\">Producing or being permitted to distribute machinery, equipment, and special oil and grease in Viet Nam.<\/span><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">The investors applying for a Business License to exercise the retail distribution right of goods being rice; sugar; recorded items; books, newspapers, and magazines have already had retail establishments in the form of supermarkets, mini-marts, and convenience stores.<\/span><\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><span style=\"color: #282828;\"><strong>b) Conditions for setting up the first retail outlet<\/strong><\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"color: #333333;\">Acquire a financial plan deemed qualified to set up the retail outlet;<\/span><\/li>\n<li><span style=\"color: #333333;\">Incur no overdue tax in a case where it has been established in Viet Nam for at least 01 year;<\/span><\/li>\n<li><span style=\"color: #333333;\">The location where the retail outlet is set up is consistent with the relevant planning in the geographical market area.<\/span><\/li>\n<\/ul>\n<h3 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"22_Specific_conditions\"><\/span><span style=\"color: #ed1c24;\"><strong>2.2 Specific conditions: <\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\">The location of the first retail outlet is placed in the same province\/municipality as the headquarters of such entity.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\"><em>Legal basis: <span style=\"color: #0000ff;\">Article 20, Decree 09\/2018\/ND-CP<\/span><\/em><\/span><\/p>\n<h2><span class=\"ez-toc-section\" id=\"3_SEQUENCE\"><\/span><span style=\"color: #003366;\"><strong>3.\u00a0<\/strong><strong>SEQUENCE.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li><span style=\"color: #333333;\"><span style=\"color: #ff0000;\"><strong>Step 1:<\/strong> <\/span>Prepare application files.<\/span><\/li>\n<li><span style=\"color: #333333;\"><span style=\"color: #ff0000;\"><strong>Step 2: <\/strong><\/span>Submit directly or via post to the Department of Industry and Trade where the headquarters of the entity is located.<\/span><\/li>\n<\/ul>\n<ul style=\"list-style-type: circle;\">\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">Within 03 working days from the date of receipt of the dossier, the Department of Industry and Trade shall examine and request for amendments and supplements if the dossier is inadequate and invalid.<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">Within 10 working days from the date of receipt of a complete and valid application, the Department of Industry and Trade shall examine the satisfaction of conditions specified in Article 9 and Clause 1, Article 22 of Decree No. 09\/2018\/ND-CP:<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">In case the conditions are not met: the Licensing Agency shall provide a written reply clearly stating the reason;<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">In case the conditions are met: the Licensing Agency shall send the dossier for consultation to the Ministry of Industry (Form No.09 in the Appendix issued with Decree 09\/2018\/ND-CP).<\/span><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li><span style=\"color: #333333;\"><span style=\"color: #ff0000;\"><strong>Step 3<\/strong><\/span><strong><span style=\"color: #ff0000;\">:<\/span> <\/strong>Within 07 days from the date of receipt of the dossier, the Ministry of Industry and Trade shall consider the corresponding contents as specified in Article 25 of Decree No.09\/2018\/ND-CP to provide written approval for the issuance of the Retail Outlet Establishment License; in case of refusal, there must be a written reply clearly stating the reason (Form No.10 in the Appendix issued as an attachment to Decree 09\/2018\/ND-CP).<\/span><\/li>\n<\/ul>\n<ul style=\"list-style-type: circle;\">\n<li style=\"text-align: justify;\"><span style=\"color: #333333;\">Within 03 working days from the date of receipt of written approval from the Ministry of Industry and Trade, The Department of Industry and Trade shall issue the Business License concurrently with Retail Outlet Establishment License. If the Ministry of Industry and Trade provides a written refusal, the Licensing Agency shall provide a written reply with an explanation.<\/span><\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"4_PROFILE_COMPOSITION_AND_QUANTITY\"><\/span><span style=\"color: #003366;\"><strong>4.\u00a0<\/strong><strong>PROFILE COMPOSITION AND QUANTITY.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li><span style=\"color: #333333;\">Pursuant to <span style=\"color: #0000ff;\">Article 20 of Decree 09\/2018\/ND-CP<\/span>, the application for a Business License concurrently with Retail Establishment License shall include:<\/span><\/li>\n<\/ul>\n<table style=\"width: 100%;
