THE CONCEPT OF <\/strong><strong>LOGISTICS SERVICE.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">Pursuant to <span style=\"color: #0000ff;\">Article 233 of the Commercial Law 2005<\/span>, the concept of logistics services is defined as follows:<\/span><\/p>\n<table style=\"width: 100%; border-collapse: collapse; border-color: #000000; background-color: #faecd7;\">\n<tbody>\n<tr>\n<td style=\"width: 100%; text-align: justify;\"><span style=\"color: #000000;\">\u201c<em>Logistics service is a commercial activity whereby a trader <\/em><em>performs<\/em><em> one or more jobs including receiving goods, transporting, storing, <\/em><em>warehous<\/em><em>ing, <\/em><em>clearing customs<\/em><em>, other paperwork, customer consultation, packaging, marking, deliver<\/em><em>ing<\/em><em> or other services related to goods as agreed with the customer for remuneration<\/em>\u201d.<\/span><\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">Thus, the entity that can run this service must be a trader. In addition, logistics services have a fairly wide field of activity, not only including delivery and receipt of goods, but also jobs such as storing, warehousing, clearing customs, packaging, etc, and traders receive remuneration through these activities.<\/span><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"2_CONDITIONS_FOR_FOREIGN_INVESTORS_TO_TRADE_IN_LOGISTICS_SERVICES\"><\/span><span style=\"color: #003366;\"><strong>2. CONDITIONS FOR FOREIGN INVESTORS <\/strong><strong>TO TRADE IN<\/strong><strong> LOGISTICS SERVICES.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<h3 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"1_Conditions_on_investment_form\"><\/span><span style=\"color: #ed1c24;\"><strong style=\"font-size: 20.16px;\">1. C<\/strong><b>onditions on investment form.<\/b><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\"><span style=\"color: #0000ff;\">Articles 233, and 234 of the Commercial Law \u00a02005<\/span> stipulate the prerequisite for an investor to provide logistics service is to establish an enterprise.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">Specifically, when providing logistics services in Vietnam, investors can choose one of the following forms:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"color: #000000;\">Establishing a new enterprise;<\/span><\/li>\n<li><span style=\"color: #000000;\">Establishing a joint venture enterprise;<\/span><\/li>\n<li><span style=\"color: #000000;\">Contributing capital to, purchasing shares, and capital contribution of logistics service enterprises in Vietnam;<\/span><\/li>\n<li><span style=\"color: #000000;\">Other forms as prescribed by law.<\/span><\/li>\n<\/ul>\n<h3 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"2_Conditions_on_capital_contribution_ratio\"><\/span><span style=\"color: #ed1c24;\"><strong>2. C<\/strong><strong>onditions on<\/strong><span class=\"apple-converted-space\">\u00a0<\/span><strong>capital contribution ratio.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">Besides having to provide logistics services as an enterprise, foreign investors must also meet the conditions on the capital contribution ratio in the enterprise that they establish or contribute capital to, purchase shares, and capital contribution.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">According to the Schedule of Specific Commitments in Services of Vietnam upon joining WTO and <span style=\"color: #0000ff;\">Decree No. 163\/2017\/ND-CP<\/span>, depending on each specific logistics activity (business line), the limit on capital contribution ratio of foreign investors is different.<\/span><\/p>\n<table style=\"height: 1px;
