THE LEGAL RECOGNITION OF DIGITAL SIGNATURE AS THE COMPANY SEAL.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">This is a completely new content compared to the provisions of the Law on Enterprise 2014.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">In fact, up to now, the company seal has existed in two forms, including:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"font-size: 16px; color: #000000;\">The seal made at the seal engraving establishment;<\/span><\/li>\n<li><span style=\"font-size: 16px; color: #000000;\">The seal in the form of digital signature in accordance with the law on electronic transactions.<\/span><\/li>\n<\/ul>\n<h3 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"So_what_are_digital_signatures\"><\/span><span style=\"font-size: 16px; color: #000000;\"><strong>So, what are digital signatures?<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\"><span style=\"color: #0000ff;\">Clause 6, Article 3 of Decree No. 130\/2018\/ND-CP<\/span> specifies that:<\/span><\/p>\n<table style=\"width: 100%; border-collapse: collapse; border-color: #00000; background-color: #faecd7;\">\n<tbody>\n<tr>\n<td style=\"width: 100%;\">\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\"><em>\u201cA digital signature is a form of electronic signature created by transforming a data message using an asymmetric cryptographic system, whereby the person who obtains the original data message and the user&#8217;s public key can accurately identifies:<\/em><\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"font-size: 16px; color: #000000;\"><em>The above transformation is created by an exact private key corresponding to the public key in the same key pair;<\/em><\/span><\/li>\n<li><span style=\"font-size: 16px; color: #000000;\"><em>Content integrity of the data message from the time the above transformation is performed.\u201d<\/em><\/span><\/li>\n<\/ul>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<h3 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"To_help_you_have_a_deep_understanding_of_it_PL_Partners_will_give_you_a_much_simpler_explanation_as_follows\"><\/span><span style=\"font-size: 16px; color: #000000;\"><strong>To help you have a deep understanding of it, PL &amp; Partners will give you a much simpler explanation as follows:<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">A digital signature is a form of electronic signature that is encrypted with data and information of a business. A digital signature has the same function as a wet signature and company seal, which is used to be signed and identified on documents and digital documents, ensuring confidentiality and safety for electronic transactions through the internet.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">Businesses can use digital signatures to declare and pay taxes, social insurance online, sign electronic invoices, perform administrative procedures through the National Business Registration Portal, and electronic customs, etc.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">Digital signature is gradually becoming an indispensable tool for most businesses today.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">Therefore, the fact that the Law on Enterprise 2020 recognizes the digital signature as a seal is totally consistent with the popular practice of electronic transactions, which have a great contribution to helping businesses have more choices in using the seal instead of just using the engraved seal as today.<\/span><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"2_BUSINESSES_DO_NOT_HAVE_TO_NOTIFY_THE_SEAL_SAMPLE_BEFORE_USING\"><\/span><span style=\"color: #003366; font-size: 19px;\"><strong>2. BUSINESSES DO NOT HAVE TO NOTIFY THE SEAL SAMPLE BEFORE USING.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">According to the provisions of <span style=\"color: #0000ff;\">Clause 2, Article 44 of the Law on Enterprise 2014<\/span>, before using the seal, the business is obliged to notify the seal sample to the business registration authorities for public posting on the National Business Registration Portal.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">However, under <span style=\"color: #0000ff;\">the Law on Enterprise 2020<\/span>, businesses will no longer need to carry out the procedures for notifying the seal sample as before.<\/span><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"3_BUSINESSES_ARE_ENTITLED_TO_SELF-DETERMINATION_WITH_THEIR_SEALS\"><\/span><span style=\"font-size: 19px; color: #003366;\"><strong>3. BUSINESSES ARE ENTITLED TO SELF-DETERMINATION WITH THEIR SEALS.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">According to <span style=\"color: #0000ff;\">Clause 1, Article 44 of the Law on Enterprise 2014<\/span>, the contents of the seal must show following information:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"font-size: 16px; color: #000000;\">Enterprise&#8217;s name;<\/span><\/li>\n<li><span style=\"font-size: 16px; color: #000000;\">Business code.<\/span><\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">However, The Law on Enterprise 2020 does not include this regulation. Businesses are entitled to determine the type, quantity, form and content of the seal of their business, branches, representative offices and other units.<\/span><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"4_CHANGES_RELATED_TO_MANAGEMENT_STORAGE_AND_USAGE_OF_THE_SEAL\"><\/span><span style=\"font-size: 19px; color: #003366;\"><strong>4. CHANGES RELATED TO MANAGEMENT, STORAGE AND USAGE OF THE SEAL.<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">The Law on Enterprise 2014 stipulates that: the management, usage and storage of the seal shall comply with the provisions of the company&#8217;s charter.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\">The Law on Enterprise 2020 stipulates that the management and storage of the seal must comply with the provisions of the company&#8217;s charter, or regulations by the businesses, their branch, representative office or other unit of the business that has its enforced seal.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 16px; color: #000000;\"><strong>As a result,<\/strong> the Law on Enterprise 2020 contributes to improve businesses\u2019 control over their company seals. Businesses do not need to spend a lot of time and effort to carry out the procedures as before.
