Council, the company\u2019s Chairman, Director\/General Director and Controllers;<\/span><\/li>\n<li><span style=\"color: #333333;\">Related persons of the Members&#8217; Council, the company\u2019s Chairman, Director\/General Director and Controllers;<\/span><\/li>\n<li><span style=\"color: #333333;\">Executives of the company\u2019s owner, the person having the power to designate these executives;<\/span><\/li>\n<li><span style=\"color: #333333;\">Related persons of Executives of the company\u2019s owner, the person having the power to designate these executives.<\/span><\/li>\n<\/ul>\n<ul style=\"list-style-type: square;\">\n<li><span style=\"color: #333333;\"><span style=\"text-decoration: underline;\">For joint stock company:<\/span> The GMS or Board of Directors shall approve contracts and transactions between the company and the following related persons when:<\/span><\/li>\n<\/ul>\n<ul style=\"text-align: justify; list-style-type: circle;\">\n<li><span style=\"color: #333333;\">Shareholders and authorized representatives of shareholders that are organizations holding more than 10% of the company\u2019s total ordinary shares and their related persons;<\/span><\/li>\n<li><span style=\"color: #333333;\">Members of the Board of Directors, the Director\/General Director and their related persons;;<\/span><\/li>\n<li><span style=\"color: #333333;\">Enterprises that must be declared by members of the Board of Directors, Controllers, Director\/General Director and other executives as prescribed in <span style=\"color: #0000ff;\">Clause 2 Article 164 of the Law<\/span> (<span style=\"color: #0000ff;\">Clause 1 Article 167 of the Law on Enterprise 2020<\/span>).<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #333333;\">The GMS shall approve the following contracts and transactions:\u00a0<\/span><\/p>\n<ul style=\"text-align: justify; On the employee\u2019s side:<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><span style=\"color: #333333;\">Also pursuant to the <span style=\"color: #0000ff;\">Labor Code 2019, Clause 4 Article 18<\/span> stipulates that an employee himself\/herself must enter into labor contracts.
