Reissue of business license for foreign-invested economic organization

1. SUBJECTS TO APPLY FOR BUSINESS LICENSE.

A business license shall be reissued to a foreign-invested economic organization in one of the following cases:

Relocating the headquarters from one province to another province.
The business license is lost or damaged.

Legal basis: Article 17 of Decree No. 09/2018/ND-CP.

2. SEQUENCE.

Step 1: Preparing the required dossier.
Step 2: Submitting

In case of reissuing business license due to relocating the headquarters from one province to another province

Within 10 working days from the date on which the modified enterprise registration certificate is obtained, a foreign-invested economic organization shall apply in person, by post, or via the Internet to the Department of Industry and Trade of the province to which the headquarters is relocated.

In case of reissuing a business license because it is lost or damaged:

A foreign-invested economic organization shall apply in person, by post, or via the Internet to the Department of Industry and Trade that issued the license.

Step 3: The Department of Industry and Trade receives the application

Within 3 working days from the date on which the application is received, the Department of Industry and Trade shall verify it and request necessary modifications if it is inadequate or unsatisfactory.

Step 4: Receiving results

Within 5 working days from the date on which an adequate and satisfactory application is received, the Department of Industry and Trade shall reissue a business license; if the application is refused, there shall be an explanation in writing.

Note:

Within 5 working days from the date on which the business license is reissued, the foreign-invested economic organization, in case of relocating the headquarters as prescribed in clause 1 Article 17 of Decree No. 09/2018/ND-CP, shall return the former business license to the Department of Industry and Trade of the province to which the headquarters is relocated.

3. PROFILE COMPOSITION AND QUANTITY.

Pursuant to Article 18 of Decree 09/2018/ND-CP, an application for reissue of a business license shall include:

4. PROCESSING TIME.

05 working days from the date on which the Department of Industry and Trade has received an adequate and satisfactory application.

NOTE:

According to clause 2 Article 70 of Decree No. 98/2020/ND-CP dated August 26, 2020: a foreign-invested economic organization shall be subject to a fine of up to VND30,000,000 when it fails to carry out procedures for reissue in case its business license is lost, torn, damaged, burned or otherwise destroyed.
Therefore, to avoid incurring unnecessary fines, when detected that the business license is lost or damaged, foreign-invested economic organizations must carry out procedures for reissue of business license in accordance with the law.
